1. Agreement to Terms

By subscribing to Good News Pixels ("Service"), you agree to these Terms of Service. These terms constitute a binding agreement between you ("Client," "you," or "your") and Astrowave LC ("we," "us," or "our").

If you are entering into this agreement on behalf of a church, ministry, or organization, you represent that you have the authority to bind that entity to these terms.


2. Service Description

Good News Pixels provides subscription-based graphic design services specifically for churches and ministries. Our service includes:

Subscription Tiers:

All tiers include unlimited original designs with delivery timeframes based on your tier:

  • Plant Tier ($2,997/month): Unlimited original designs with extended delivery timeline + unlimited template customizations (24-hour turnaround)
  • Growth Tier ($4,997/month): Unlimited original designs with standard delivery timeline + unlimited template customizations (24-hour turnaround)
  • Harvest Tier ($7,997/month): Unlimited original designs with priority delivery timeline + unlimited template customizations (24-hour turnaround)

Deliverables:

  • Custom graphic design work for ministry use (sermon series, events, social media, announcements, etc.)
  • Template customization services (24-hour turnaround for existing template modifications)
  • Original design services (delivery timeline as communicated per subscription tier)
  • Unlimited revision requests within scope of original project brief
  • Project management and communication via Trello

Add-On Services:

  • Exclusive License Option: Add $3,500 per month to any tier to retain an exclusive license to all original designs created that month by Good News Pixels. Without this add-on, we retain the right to adapt original designs we create into our template library for broader use.

Important Note: This applies only to original works designed and produced by Good News Pixels. Any pre-existing designs, assets, or materials you provide to us will never be shared publicly or made available to other subscribers under any circumstances.


3. Intellectual Property Rights

Your Usage Rights:

You receive full, perpetual usage rights for all designs created under your subscription. You may use these designs across all your ministry channels (print, digital, social media, etc.) without additional fees.

Our Template Library Rights:

Unless an Exclusive License is purchased for a given month, you grant Astrowave LC the right to adapt, modify, and redistribute original designs we create for you into our template library for use with other clients and for sale as templates.

This helps us serve churches of all sizes by making professional design accessible to smaller ministries. Your designs are custom-crafted for your specific needs; template versions may be modified for broader application.

Client-Provided Materials Are Always Protected: Any designs, logos, images, fonts, or other materials you provide to us will never be shared publicly, added to our template library, or made available to other subscribers. We only adapt original works we create from scratch.

What You Retain:

  • Your church name, logo, specific copy, and proprietary information will never be shared
  • Template adaptations use the design concepts, layouts, and visual styles we created—not your specific content
  • Any pre-existing materials you provide remain your exclusive property

Exclusive License:

When an Exclusive License is purchased for a month, all original designs created during that billing period by Good News Pixels remain exclusively licensed to you and will not be added to our template library or shared with any other clients.


4. Payment Terms

Billing:

  • Subscriptions are billed monthly via Stripe on the date you subscribe
  • All prices are in USD
  • Payment must be received before work begins each billing cycle
  • We accept major credit cards and ACH payments through Stripe

Price Changes:

We reserve the right to modify subscription pricing with 30 days notice. Price changes do not affect your current billing cycle.

Failed Payments:

If payment fails, we will attempt to process payment again. If payment cannot be processed within 3 business days, your subscription will be suspended until payment is received.

Failed Payment for Exclusive License:

If you have purchased an Exclusive License add-on and payment fails for that month, the Exclusive License becomes null and void. We retain standard template library rights to any original designs created during that billing period. Payment must be successfully processed to maintain Exclusive License protection.


5. Refund Policy

We want you to be completely satisfied with our service.

Full Refund (100%):

If no design work has been started on your project, you may request a full refund within your billing period.

Partial Refund (75%):

Once we have begun work on your project (initial concepts shared, revisions in progress), you may request a 75% refund of that month's subscription fee.

No Refund:

Once projects are completed and delivered, no refunds are available for that billing cycle.

Processing Fees:

Please note that payment processing fees charged by Stripe are non-refundable and will be deducted from any refund amount.

Refund Process:

Refund requests must be submitted in writing via email. Refunds are processed within 10 business days.


6. Cancellation Policy

You may cancel your subscription at any time with no advance notice required.

What Happens When You Cancel:

  • Your subscription remains active through the end of your current paid billing period
  • We will complete any projects in progress during that time
  • You retain usage rights to all designs delivered before cancellation
  • No partial refunds are given for unused days in your billing period
  • Access to Trello project boards will be maintained through your paid period

How to Cancel:

Email us at [your support email] with "Cancellation Request" in the subject line, including your account details.


7. Client Responsibilities

To ensure successful project delivery, you agree to:

Provide Clear Information:

  • Project briefs with clear objectives and requirements
  • All copy, text, dates, and content to be included in designs
  • Brand assets (logos, fonts, color codes) if applicable
  • Timely feedback on design concepts and revisions

Review and Approve Work:

  • You are responsible for reviewing all designs for accuracy before final delivery
  • This includes checking spelling, dates, contact information, scripture references, and all content
  • Once you approve final designs via Trello, you accept responsibility for the accuracy of all information

Communication:

  • Respond to design questions and revision requests at your earliest convenience
  • Communicate through Trello for project tracking and accountability

Appropriate Use:

  • Use designs only for ministry and church purposes
  • Do not resell or redistribute designs to other organizations
  • Provide accurate information; we are not liable for designs created based on incorrect information you provide

8. Our Responsibilities

We commit to:

Quality Work:

  • Deliver professional, high-quality design work appropriate for ministry use
  • Provide unlimited revisions within the scope of the original project brief
  • Meet communicated timelines for template customizations (24 hours) and original designs (as agreed per subscription tier)

Use of Artificial Intelligence:

We may use AI tools (such as generative AI for textures, imagery, and assets, or AI-assisted copywriting) as part of our creative workflow. However:

  • AI is never used to single-shot produce a complete project
  • AI is always used in conjunction with professional design expertise and human creative direction
  • All work is reviewed, refined, and finalized by experienced designers
  • The final output reflects professional craft, not raw AI generation

Font Licensing:

All fonts used in your designs are properly licensed for commercial use. Font licensing is included in your subscription cost—you are not responsible for purchasing or managing font licenses for designs we create.

Communication:

  • Respond to messages within 1 business day
  • Keep you updated on project progress via Trello
  • Be transparent about timelines and any potential delays

Confidentiality:

  • Keep your proprietary information, strategy discussions, and ministry details confidential
  • Never share your specific content, church name, or identifying information with third parties (except as required for template library adaptations per Section 3)
  • Never use your testimonials, church name, or logos in our marketing materials without your prior written permission

9. Limitations of Liability

Service Provided "As-Is":

While we strive for excellence, design services are provided "as-is" and we make no warranties about specific outcomes or results from using our designs.

Limitation of Damages:

Our total liability for any claim related to our services is limited to the amount you paid for services in the month the issue occurred.

Client Approval:

We are not liable for errors in final designs that you approved, including but not limited to: spelling errors, incorrect dates, wrong information, or content inaccuracies. Your approval via Trello constitutes acceptance of all content.

Third-Party Services:

We are not responsible for issues caused by third-party services (Stripe payment processing, Trello access, email delivery, etc.).

Not Legal or Compliance Advice:

We provide design services only. We are not responsible for ensuring your materials comply with copyright law, trademark law, advertising regulations, or any other legal requirements. You are responsible for ensuring appropriate usage rights for any content you provide.


10. Prohibited Uses

You may not use our services to:

  • Create designs for resale or redistribution to other organizations
  • Create content that is defamatory, obscene, or violates any laws
  • Impersonate another church, ministry, or organization
  • Violate intellectual property rights of others
  • Use designs in ways that could bring harm or disrepute to the Christian faith

We reserve the right to refuse service or terminate accounts that violate these terms.


11. Modifications to Service

We reserve the right to:

  • Modify or discontinue any aspect of the service with 10 days notice
  • Update design tools, processes, and delivery methods
  • Change subscription tier features with advance notice to active subscribers

Material changes to these Terms of Service will be communicated via email with 10 days notice.


12. Termination

We reserve the right to terminate service if:

  • Payment obligations are not met
  • You violate these Terms of Service
  • You engage in abusive or harassing behavior toward our team
  • You use services for prohibited purposes

Upon termination:

  • You retain usage rights to designs delivered before termination
  • No refunds are provided for early termination due to violation of terms
  • Access to Trello and project files will be removed

13. Dispute Resolution

Informal Resolution:

If you have concerns about our service, please contact us first. We're committed to resolving issues directly and fairly.

Governing Law:

These terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law provisions.

Jurisdiction:

Any legal disputes will be resolved in the state or federal courts located in DeKalb County, Georgia.

Arbitration:

For disputes that cannot be resolved informally, both parties agree to binding arbitration in DeKalb County, Georgia, under the rules of the American Arbitration Association.


14. General Provisions

Entire Agreement:

These Terms of Service constitute the entire agreement between you and Astrowave LC regarding Good News Pixels services.

Severability:

If any provision is found unenforceable, the remaining provisions remain in full effect.

No Waiver:

Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment:

You may not transfer your subscription to another party without our written consent. We may assign our rights and obligations to another entity.

Force Majeure:

We are not liable for delays or failure to perform due to circumstances beyond our reasonable control (natural disasters, internet outages, pandemics, etc.).

By subscribing to Good News Pixels, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
